1. Acceptance of Terms These Terms of Service ("Terms") constitute a legally binding agreement between you (the "User", "you", or "your") and Booknua DAC, a company registered in Ireland under company number [CRO Number] ("Booknua", "we", "us", or "our"), governing your access to and use of the Booknua platform, website, mobile applications, and related services (collectively, the "Service"). By creating an account, accessing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms and policies referenced herein. If you are using the Service on behalf of a business or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. 2. Description of Service Booknua is an AI-powered salon booking and management platform designed for small beauty businesses in Ireland and the UK. Our Service provides: Online Booking System: Allow clients to book appointments through your website, social media, or booking widget AI Receptionist: 24/7 automated phone answering, booking assistance, and customer enquiry handling Unified Inbox: Centralised management of messages from Instagram, Facebook, SMS, email, and WhatsApp Client Relationship Management (CRM): Client profiles, history, preferences, and communication tracking AI Gap Filler: Intelligent scheduling to maximise your booking capacity Payment Processing: Integrated deposit collection and payment processing via Stripe AI Marketing Automation: AI-driven marketing campaigns, automated reminders, and client engagement Advanced Analytics: Business insights, revenue tracking, and performance metrics We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable. 3. Account Registration 3.1 Eligibility To use Booknua, you must: Be at least 18 years of age Have the legal capacity to enter into binding contracts under Irish law Operate a legitimate beauty, salon, or wellness business (or be authorised to act on behalf of one) Provide accurate, current, and complete registration information Be based in Ireland, the UK, or another supported jurisdiction 3.2 Account Security You are responsible for: Maintaining the confidentiality of your account credentials All activities that occur under your account Notifying us immediately of any unauthorised access or security breach at security@booknua.com Ensuring that any team members you authorise comply with these Terms 3.3 Account Accuracy You agree to keep your account information accurate and up-to-date. We may suspend or terminate accounts with inaccurate or outdated information. 4. Pricing & Billing Pay-Per-Booking Pricing Model Booknua operates on a simple, transparent pay-per-booking model. No monthly fees. No contracts. No hidden charges. €0.50 per completed booking 4.1 Pricing Structure Booknua uses a pay-per-booking pricing model: Per-Booking Fee: €0.50 (fifty cents) per completed booking processed through the platform No Monthly Fees: There are no monthly subscription charges No Setup Fees: Account creation and setup is free No Contract Lock-in: You can stop using the service at any time with no cancellation fees All Features Included: All platform features are available to all users at no extra cost 4.2 What Counts as a Booking A "completed booking" for billing purposes means: An appointment that has been scheduled and confirmed through the Booknua platform Bookings made via your booking widget, social media DMs, or AI receptionist Only completed appointments are charged—cancelled appointments before the scheduled time are not charged No-shows may still be charged as the booking slot was reserved 4.3 Billing & Payment Booking fees are accumulated and billed weekly or when your balance reaches €20, whichever comes first All prices are quoted in Euros (€) and include Irish VAT at the applicable rate (currently 23%) Payment is processed automatically via your registered payment method (Stripe) You will receive a VAT invoice for each payment via email Failed payments may result in temporary service suspension until payment is resolved 4.4 Payment Processing Fees When you collect payments from your clients through Booknua: Payment processing is handled by Stripe Stripe's standard fees apply: 1.4% + €0.25 for European cards These fees are separate from Booknua's per-booking fee Funds are deposited directly to your connected bank account 4.5 Free Trial We may offer a free trial period for new users. During the trial: You can use all features without charge Bookings made during the trial are not charged the €0.50 fee At the end of the trial, standard per-booking pricing applies We will notify you before the trial ends and charges begin 4.6 Price Changes We may change our pricing at any time with 30 days' notice. If you disagree with price changes, you may stop using the service before the new prices take effect. 5. Acceptable Use Policy You agree not to use the Service to: Violate any applicable Irish, EU, or international laws and regulations Send spam, unsolicited messages, or engage in harassment Upload malware, viruses, or other harmful code Attempt to gain unauthorised access to our systems or other users' accounts Interfere with or disrupt the Service's operation Scrape, mine, or collect data from the Service without permission Impersonate any person or entity Use the Service for any fraudulent or deceptive purpose Resell, sublicense, or commercially exploit the Service without authorisation Process personal data in violation of GDPR or Irish data protection law Use the AI features to generate harmful, illegal, or discriminatory content We reserve the right to suspend or terminate accounts that violate these policies without refund of any accrued charges. 6. User Content & Data 6.1 Your Content You retain ownership of all content you upload to the Service ("User Content"), including client data, business information, images, and communications. By uploading content, you grant us a limited licence to use, store, and process it solely to provide the Service. 6.2 Client Data Responsibility As a salon owner using our platform, you are the data controller for your clients' personal data under GDPR. You are responsible for: Obtaining necessary consents from your clients Providing appropriate privacy notices to your clients Ensuring lawful processing of client data Responding to your clients' data protection requests (Subject Access Requests, etc.) Complying with all applicable Irish and EU data protection laws 6.3 Data Processing Agreement We act as a data processor when handling your client data. Our Data Processing Agreement (DPA), incorporated into these Terms, governs this relationship and is available upon request at legal@booknua.com. 6.4 Backup & Export While we maintain regular backups, you are responsible for maintaining your own backups of critical data. You can export your data at any time through your account settings or by contacting support@booknua.com. 7. AI Services & Automation 7.1 AI-Powered Features Booknua uses artificial intelligence to provide features including: AI Receptionist: 24/7 automated phone answering and message responses AI Gap Filler: Smart scheduling suggestions to maximise your calendar Unified Inbox AI: Automated customer enquiry handling across all channels AI Marketing Automation: Intelligent campaign creation and customer engagement Smart Reminders: Automated appointment reminders to reduce no-shows 7.2 AI Limitations You acknowledge that: AI responses may not always be accurate or appropriate for every situation You are responsible for reviewing and approving AI-generated content before it's sent AI features are tools to assist, not replace, human judgment We do not guarantee specific outcomes from AI features (e.g., booking rates, revenue increases) You should have fallback processes for when AI features are unavailable 7.3 AI Training & Improvement By using our AI features, you agree that we may: Process conversation data to improve response quality and accuracy Use anonymised and aggregated data to train and enhance our AI models Develop new features based on usage patterns All data processing is conducted in accordance with our Privacy Policy, GDPR, and Irish data protection law. You can opt out of AI training by contacting us. 8. Third-Party Integrations 8.1 Integrated Services Booknua integrates with third-party services including: Meta (Facebook/Instagram): For social media messaging and DM booking Stripe: For payment processing (Irish entity, EU-compliant) Twilio: For SMS and voice communications Google: For calendar synchronisation WhatsApp Business: For customer messaging 8.2 Third-Party Terms When you connect third-party services, you agree to their respective terms of service and privacy policies. We are not responsible for the performance, security, or practices of third-party services. 8.3 API Access Access to third-party APIs may be subject to rate limits, usage restrictions, and changes beyond our control. We cannot guarantee uninterrupted access to integrated services. 9. Intellectual Property 9.1 Our Property The Service, including all software, designs, text, graphics, logos, AI models, and other content, is owned by Booknua DAC or our licensors and protected by intellectual property laws. Nothing in these Terms grants you ownership rights in our intellectual property. 9.2 Limited Licence We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your business purposes, subject to these Terms. 9.3 Feedback Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation to compensate you. 10. Disclaimers & Warranties THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY IRISH LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO: Warranties of merchantability, fitness for a particular purpose, or non-infringement Warranties that the Service will be uninterrupted, error-free, or secure Warranties regarding the accuracy, reliability, or completeness of any information Warranties that defects will be corrected or that the Service is free of viruses Warranties regarding the accuracy or appropriateness of AI-generated content We do not warrant any specific results from using the Service, including increased bookings, revenue, or client satisfaction. Your use of the Service is at your sole risk. 11. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY IRISH LAW: Booknua shall not be liable for any indirect, incidental, special, consequential, or punitive damages Our total liability for any claims arising from these Terms or the Service shall not exceed the fees you paid to Booknua in the 12 months preceding the claim We are not liable for any loss of data, revenue, profits, or business opportunities We are not liable for actions or content of third parties, other users, or your clients We are not liable for AI-generated content that you send without review Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by Irish law. Consumer protection rights under Irish and EU law are not affected. 12. Indemnification You agree to indemnify, defend, and hold harmless Booknua DAC, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: Your use of the Service Your violation of these Terms Your violation of any third-party rights Your User Content Your processing of client personal data Your failure to comply with GDPR or Irish data protection law Claims by your clients relating to services you provided 13. Termination 13.1 Termination by You You may terminate your account at any time: Through your account settings By contacting support@booknua.com There are no cancellation fees or lock-in periods You will be billed for any outstanding booking fees accrued before termination 13.2 Termination by Us We may suspend or terminate your access to the Service immediately, without prior notice, if: You breach these Terms Your payment fails and is not remedied within 7 days We are required to do so by law or regulatory order We reasonably believe your use poses a security risk We discontinue the Service (with reasonable notice) 13.3 Effect of Termination Upon termination: Your right to use the Service ceases immediately You remain liable for any fees owed We will provide data export options for 30 days After 30 days, we may delete your data in accordance with our retention policy Provisions that by their nature should survive (indemnification, limitation of liability, governing law) will remain in effect 14. Governing Law & Disputes 14.1 Governing Law These Terms shall be governed by and construed in accordance with the laws of Ireland, without regard to conflict of law principles. 14.2 Dispute Resolution Any disputes arising from these Terms or the Service shall be resolved as follows: Informal Resolution: We encourage you to contact us first at legal@booknua.com to resolve disputes informally Mediation: If informal resolution fails, we may agree to mediation through a recognised Irish mediation service Courts: The courts of Ireland shall have exclusive jurisdiction for any legal proceedings 14.3 Consumer Rights If you are a consumer, nothing in these Terms affects your statutory rights under Irish or EU consumer protection law. You may also have the right to bring proceedings in your local courts. 14.4 Online Dispute Resolution For EU consumers, the European Commission provides an Online Dispute Resolution platform at ec.europa.eu/consumers/odr. 15. Changes to Terms We may modify these Terms at any time. We will provide notice of material changes by: Posting the updated Terms on our website Sending email notification to your registered address Displaying a prominent notice in the Service Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you disagree with changes, you must stop using the Service and close your account before the changes take effect. 16. Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right. Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations freely, including in connection with a merger, acquisition, or sale of assets. Force Majeure: We shall not be liable for delays or failures resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, or infrastructure failures. Language: These Terms are provided in English. In the event of any conflict between English and other language versions, the English version shall prevail.
